Monitoring Service Agreement This is an agreement between Bedford Security Systems Inc., operating as Bedford Medical Alert ("Company" or "Bedford"), and the Subscriber for the monitoring of personal response equipment ("Equipment"), and all associated devices, under the terms and conditions set out herein on both sides of this Agreement. Subscriber hereby affirms that he/she is: a) the owner of the property in which the Equipment will be installed,b) the individual using Bedford’s Monitoring Service, ORc) a substitute decision maker under Power of Attorney for personal care and/or property for the individual using our Monitoring Service. 2 Bloor St. West, Ste 700, Toronto, Ontario M4W 3E2T: (416) 921-9977Toll-Free: 1 (888) 755-3055Website: www.bedfordalert.caBusiness No.: 82636 0786 RT 0001 Subscriber Agreement Cancellation Notice:Subscriber agrees to provide 30 days’ cancellation notice to Bedford should the Subscriber wish to return the device and cancel the service(s) following the Initial Term. Equipment replacement fee for equipment damaged or not returned 2 weeks after cancellation is $300.00. Subscriber agrees that they have carefully read, understood, and agreed to all provisions on the front and reverse sides of the Agreement. Termination Rights:Subscriber has the right to terminate this Agreement within 10 days of signing and agreeing to the terms herein. A copy of the Agreement is given to the Subscriber. Any termination or instruction notice must be given to Bedford by the Subscriber in writing to the Company’s Head Office, with 5 business days for processing. VOIP & Telephone Line Disclaimer I have been advised and I understand the limitations of using a telephone line connection, and the potential impact that Broadband/VOIP may have on the Monitoring Service. Cellular & GPS Disclaimer I have been advised and I understand the limitations of using a cellular connection and GPS location with the Monitoring Service. Automatic Fall Detection Disclaimer I have been advised and I understand the limitations of automatic fall detection technology with the Monitoring Service. Monitoring Service Agreement Terms 1. Fees: Subscriber will pay a monthly fee for Monitoring Service at the Company’s prevailing rate, established by the Company from time to time and communicated to the Subscriber, together with any applicable sales, use, and other taxes. Subscriber agrees to pay any activation, installation, or setup charges if applicable. The Company will provide the Subscriber with 30 days' notice of any rate change. Invoices are due upon receipt, and interest will be charged at a rate of 2% per month (24% per year) on overdue accounts. The Company retains the right to receive reimbursement for any debit that is unauthorized or inconsistent with this Agreement. 2. Terms: The Initial Term of Monitoring Service ("Initial Term") shall begin on the Installation Date. Subject to the terms of this Agreement, the Subscriber must subscribe to the Company’s Monitoring Service for a term no less than the duration of the Initial Term. At the expiry of the Initial Term, this Agreement shall automatically renew on a recurring term basis, as indicated in Payment Options on the reverse side of this Agreement, unless terminated with 30 days' written notice. The Company may terminate this Agreement at any time without notice or reason given to the Subscriber. The Subscriber must pay all outstanding charges, including monthly Monitoring Service fees, up to the end of the Initial Term or subsequent renewed periods. 3. The Company’s Duties: The Company will use reasonable commercial efforts to monitor the Equipment 24/7. Upon receiving an emergency signal from the Equipment, the Company will promptly notify appropriate Responders (e.g., Police, Ambulance, Fire Department, or designated emergency contacts). Changes to designated emergency contact(s) must be made in writing by the Subscriber. For Reminder Phone Equipment, the Company will notify the designated Reminder Contact, as updated in writing by the Subscriber. If the Subscriber has a lockbox, the Company will provide its location and key access code to Responders if provided by the Subscriber. The Company is not liable for misuse or gross negligence involving the lockbox. 4. Subscriber’s Duties: The Subscriber must: Review, read, and follow the Equipment user manuals. Test the Equipment monthly. Notify the Company immediately if any problems arise. Notify the Company in writing of any changes to records, emergency contacts, or designated Responders. The Subscriber is responsible for programming reminder notices and ensuring their accuracy. Any changes to the Subscriber’s address or telephone details must also be reported, as they may cause a lapse in monitoring. The Company may charge fees for any changes. Subscribers using a telephone line connection must arrange for a CA38A or RJ31X telephone jack to avoid signal interference. 5. Forced Entry: If an alarm signal is received and the Responder cannot access the Subscriber’s home, the Responder is authorized to break in. The Subscriber waives any claim against the Company or Responder for damages resulting from forced entry. 6. Equipment: The Subscriber is responsible for any loss or damage to the Equipment. The Company retains ownership rights to the Equipment, which must be returned upon termination of this Agreement. Alternatively, the Company may retrieve the Equipment for a service fee. 7. Limitations: The Company’s ability to monitor the Equipment depends on communication pathways, including telephone lines, cellular connections, and internet connections. Service interruptions due to these pathways are beyond the Company’s control. Additional risks arise if the Equipment uses unsupported pathways like VoIP or if Subscriber information is outdated. 8. Interruption of Service: The Company assumes no liability for interruptions caused by natural disasters, technical issues, or third-party activities. Refunds are not provided for interruptions caused by these factors. 9. Indemnification: The Subscriber agrees to indemnify and hold the Company harmless against any claims arising from its performance or negligence. 10. Warranties and Disclaimer: The Company does not guarantee that its services will prevent loss, damage, or injury. The Subscriber assumes all associated risks. 11. Liability: The Company is not liable for delays, non-response, or consequential damages. 12. Entire Agreement/Modification: This Agreement constitutes the entire agreement. Only a duly authorized officer may amend its terms. 13. Severability: Invalid provisions do not affect the enforceability of the remaining terms. 14. Language: This document is written in English at the Subscriber’s request. 15. Agreement Context: Personal pronouns include singular, plural, masculine, feminine, and neuter forms as required. Headings are for reference only. By signing, the Subscriber acknowledges having read and agreed to all terms and conditions of this Agreement.
